SANOFI-AVENTIS : an analysis of the hostile takeover bid by Sanofi-Synthelabo

Résumé
In 2004, SANOFI/SYNTHELABO took over AVENTIS, a pharmaceutical company twice its size, after a highly publicised battle on the financial markets.
In this highly competitive sector, where innovation is critical, and the threat of generic drugs is constant, concentration is inevitable. Indeed, the industry is twice as concentrated as 10 years ago. Aventis was rendered fragile by its inability to launch new « blockbusters » (highly successful drugs on the world market), and its stock price fell significantly, even below that of Sanofi, a company half its size.This is the context in which the takeover took place.
The objective for learners is to enable them to analyse the structure of the market, the takeover itself, the strategic reasons behind the takeover and the integration process.
Objectifs pédagogiques
The case should enable the student to understand why the pharmaceutical sector is subject to concentration. In order to do this, learners must carry out a comprehensive:
- analysis of the environment in order to determine what are the key variables that explain this trend;
- analysis of the takeover bid by Sanofi on Aventis;
- explain which strategic variables were critical to the takeover
- examine the integration issues that now face the newly formed company.

This case is intended to be used with students who have followed at least one course in strategic management of a master's program. It is essentially aimed at management students with a business school or economics background. However, the case can also be used in a specialised master's or MBA programme, as a follow-up exercise to courses on the strategic aspects of mergers and acquisitions, postmerger integration or technology management.

The case leads learners to think about a sector which is developing rapidly. The advantage of using such a sector is effective if the learners already have some basic knowledge of the industry because they are familiar with the regulatory environment and are used to taking medication. However, teachers must be careful to avoid cliches or politically coloured input. Students who are specialised in the pharmaceutical industry will have a very different vision of the market. For them, the case provides an opportunity to address issues related to technology, management, strategy and economics.
In a broader context, the teacher can address international issues related to the pharmaceutical industry and technological questions (genetics, nano technologies...). The case aims to provide a solid teaching foundation but cannot be considered exhaustive, given the wealth of information that is available on this sector.
The teaching note contents pedagogical scenario (timing 3h). This case can be used for exam. It is completed by 36 slides which can be used for debriefing.
