The case is designed for a Master corporate governance course and would work well in most family business courses. lt gives the students the opportunity to analyze the evolution of the corporate governance structure of a large international family business in the food lndustry over 30 years. lt invites students to offer the Company recommendations for maintaining an efficient and strategic decision-making processes. Depending on the instructor's objectives, the material can be analyzed through different and complementary perspectives (Agency theory,Stewardship theory,Managerial hegemony,Resource dependence,Resource-based vlew,..).

Objectifs pédagogiques
- Familiarize with corporate governance theories of the board
- Familiarize with the various roles of the board of directors
- Analyze family businesses' specifie governance structure
- Design an efficient strategie governance structure for a family firm
